The present Terms & Conditions constitute a legally binding agreement between you (hereafter interchangeably referred to as “Investor”, “You” or “Your”) and “World Vision International” International Beneficent Organization, represented by its Armenian Branch (a branch registered and existing under the laws of the Republic of Armenia, state registration number: 211.060.03995, TIN: 02528755, and having its address at Republic of Armenia, Yerevan, 1 Romanos Melikyan   Street, Yerevan 0065, Republic of Armenia) (hereafter referred to as “World Vision”, “WV”, “We”, “Us” or “Our”) regarding Your use of the www.donate.am website (hereafter  referred to as the “Website”), including any information, text, video, audio, pictures, messaging and/or any other functionality and/or content contained therein (hereinafter referred to as “Content”), including Content available to certain categories of Investors, and any projects, products and services available through Our Website (hereafter jointly referred to as the “Projects”). Website also operates Donate.am platform, a fundraising platform aimed at raising awareness and funds for the Projects implemented by WV. Our Privacy Policy, contained in a separate document, form an unalienable part of these Terms & Conditions. 

By accessing to or using the Website You explicitly and irrevocably agree to be bound by these Terms & Conditions. We reserve the right to seek all remedies available by law for any violation of these Terms & Conditions, including violation of rights to the Website name, our logo and any Content contained therein, including any violation of the confidentiality obligations stated herein regarding the Content.

Please read these Terms & Conditions (including the Privacy Policy) carefully. Please do not access or start using the Website if You have not done so, or if You do not agree to any of these Terms & Conditions.

 

Brand Name and Logo. Ownership

Our brand names “World Vision International”, “World Vision Armenia”, any abbreviations thereof, as well as our logo placed on the Website are the exclusive property of World Vision or its affiliates. They are protected under international and Armenian law. Unauthorized use is prohibited. They may not be copied or reproduced or otherwise used in any way without the prior written permission of the rightsholders.

The Website is the exclusive property of World Vision. Unauthorized use of the Website name and/or logos placed therein is prohibited. Requests for permission of use should be sent to Us through [email protected].

All right, title and interest in and to the Website and all uses thereof, projects, information and other materials contained therein, including without limitation all copyright, trademark, patent and other intellectual property rights therein, shall be and remain solely with WV or its respective licensors or rightsholders, and may not be used without express written permission of the rightsholders.

You do not acquire any ownership rights by using the Website, or by using the functionality of the Websites, including regarding the Content made available to you pursuant these Terms & Conditions. 

You agree not to copy, redistribute, publish, use, transfer or otherwise exploit the Content and any material from the Website, available to You except as expressly permitted herein and subject to application of proper data security measures by You as requested under these Terms & Conditions.

 

Content use restrictions

World Vision is committed to protecting the privacy and well-being of Children. Among other things, this requires strictly limiting the use and dissemination of information about children, and preventing any unauthorized and unsupervised contact with them. 

At no time may You download, save, print-screen or otherwise collect or store or anyhow use any photographs or videos of children that may appear on the Website.

At no time may You download, save, print-screen or otherwise collect or store or anyhow use any information about children that may be available on the Website. Such information may include the name, age, area of residence, and general information about the child (general information about education, health, living conditions, family situation, social needs etc.).
 

Donate.am 

The Website was developed upon the request of and was launched by World Vision within the scope of its general undertaking to support children with vulnerabilities in and contribute to overcoming poverty and injustice in various communities of Armenia. The Website provides a convenient online fundraising platform for WV’s supporters, individual investors, companies and partners (hereinafter jointly: “Investors”) from both Armenia and worldwide to raise money for the purposes of funding different projects of WV, including projects aimed at supporting children in need of social, financial, educational, healthcare and other types of assistance and their families. 

Donate.am platform is designed to provide a straightforward and rapid way of donating funds for the purposes of implementing various projects of WV and exploits 3 main directions for fundraising as described herein. 

Any photo, video, articles, news, stories, social profile and any other Content posted on the Website or made available on or through the Donate.am platform are the sole property of WV, and may not be reproduced, modified, (re)distributed, published or used in any other manner without expressed written permission of WV. 

 

Updates and Modifications

The Content of the Website and the underlying Donate.am platform is selected on the basis of WV’s own criteria and in its own sole discretion. The Website is evolving, and WV reserves the right to update, modify or change the Content of the Website and the Content available through Donate.am platform with or without prior notice for any reason, in its sole discretion, including but not limited to these Terms & Conditions. WV may also, but not necessarily, give You an additional notice thereof, such as an e-mail. If You continue to use the Website (irrespective of WV giving You a designated notice as mentioned above) following the posting of updates, changes or modifications, You thereby explicitly and irrevocably agree to and accept updates, changes or modifications. Except as otherwise stated, all amended terms shall automatically be effective immediately when initially posted. No amendment to the Terms & Conditions or Privacy Policy shall apply to any dispute of which We had actual notice before the date of the amendment. 

If You at any point do not agree to any portion of then-current Terms & Conditions, You must immediately stop using the Website. You may need to update third party software from time to time in order to be able to access to and/or use the Website.

 

Donations through Website 

If You want to donate to the projects of WV through the Website, You may opt for any of the 3 following directions: 

a) General donation  
b) Donation as a registered Sponsor 
c) “Give a Gift” campaign 

When You opt to make a payment on Website as a “General donation” or “Donation as a registered Sponsor” WV will utilize 20% from each donation made online for its administrative costs such as logistics, field management, monitoring, IT support and maintenance, etc. 

 

General Donation

The Website enables You make one-time general donations of Your chosen amount, whereby You do not need to register an account on Donate.am platform. In order to make a donation You shall provide Your full name, e-mail address and choose the payment method from the available options (i.e. bank transfer or e-wallet payment). You may, but not required to, submit comments / remarks, including on how You would like Your donation to be used in “Comments” section. 

The payment is processed by a partner bank or through internet processing system for which purposes You will be re-directed to an applicable payment processing page. You will be required to input your card or e-wallet details to finalize the payment on the Website. You will receive a confirmation to the e-mail address provided by You once the payment is successfully received by WV. 

Additionally, You may opt for receiving updates and newsletters from WV. You can amend Your choice at any time on the Website. 

Donations received as a General Donation from the Website will be used on “Where most needed” basis and will be directed by WV to the financing of its projects aimed at assisting children with vulnerabilities. 

 

Donations as a registered Sponsor

You may also opt for making donations on the Website as a registered Sponsor with privileges that comes with it and participate in WV’s Child Sponsorship Program. Both individuals and organizations may participate in Child Sponsorship Program which aims at establishing long-term and friendly relationship with the child and/or his/her family that You choose to support financially. The Child Sponsorship Program will provide you with a possibility to establish contact with the child You support, receive updates and reports on how Your contributions impact the life of a child / family and its quality, what activities are being carried out as a result of Your contributions. 

• How to register as a Sponsor

If You would like to register as a Sponsor on Donate.am platform, You may need to provide Us or else have an option to provide Us with certain information, which may include, without limitations, Your name, surname, e-mail address, country of residence, as well as You shall create a password for your Sponsor account. You may also opt for receiving letters from Your sponsored child and enable the option of getting in contact with him/her. 

Please note that We reserve the right to refuse Your registration if We believe Your profile does not fit the purposes of the Donate.am platform, We, in our sole discretion, believe any of the information You provide is inaccurate, or that Your registration or use of the Website in general could be contrary to or violate Terms & Conditions and/or Privacy Policy or otherwise Your registration or use of Website’s possibilities will endanger the safety and security of the child or be contrary to the best interest of the child. We also reserve the right to immediately terminate Your use of the Website in general  and Donate.am platform in particular, if you commit any act that is contrary to these Terms & Conditions and/or the Child protection policies of WV published on its websites (https://www.wvi.org/publications/policy-paper/armenia/legal-disclaimers-safeguarding-communications-social-media-and) and/or any other legal or internal rules aimed at protection of rights and interests of a child, including its right to privacy, private and family life. 

• Privileges of Sponsor account

Once Your Sponsor account is successfully registered on the Donate.am platform additional opportunities/functions of the Website may, but not necessarily will, become available for You: 

a) See photos, videos and latest updates about Your sponsored child; 
b) Send and receive letters and e-mails to and from Your sponsored child, via WV, as well as send special gifts, again via WV; 
c) Request further details and information about the health, social, financial and other related conditions of the child from WV prior to making additional donations (Please note: WV reserves the right to reject the transfer and disclosure of requested information about the child due to its sensitive or confidential nature);
d) Contact Your sponsored child exclusively via an online and secured platform provided and monitored by WV,; 
e) Request an in-person meeting with Your sponsored child and/or his/her family exclusively in the presence of WV’s respective and designated employees, as well as at the places specifically cleared and approved by WV.  
f) View Your donation history and update Your donation information and chosen categories of donations; 
g) Receive and/or view reports and updates on the use of Your donations and the impact they have on the well-being, development and quality of life of Your sponsored child. 

• Limitations of use and obligations of the Sponsor

You are prohibited from making contact with Your sponsored child and/or his/her family outside the secured and monitored platform provided by WV. By agreeing to these Terms & Conditions You explicitly agree that all correspondence, contact and communication (including any in-person meeting) with Your sponsored child and/or his/her family will be priorly notified to WV in writing and will only take place in the presence of the authorized representative of WV. Any contact and/or communication made directly with the sponsored child and/or his/her family without prior consent and/or presence of WV representatives will automatically terminate Your sponsorship and participation in Child Sponsorship program and de-activation of Your Sponsor account. As a result, You will be black listed and will not be able to review any Content on the Website and/or submit requests to WV regarding any sponsored child. If any of Your actions contain illegal and/or criminal acts, WV reserve the right to initiate a criminal investigation against You and submit a claim with the respective law enforcement bodies. 

You cannot use information or any Content made available to You on the Website, through Donate.am platform and/or Your Sponsor account or otherwise received from WV or the sponsored child directly for any other purposes than acquainting Yourself with the progress the child has made following Your financial contributions and/or monitoring the use of funds by WV or Your sponsored child’s family.  

WV is committed to protecting the privacy, private and family life of all children and their respective families that benefit from WV’s projects and/or Your donations and therefore You are prohibited from use, dissemination, publication and/or exploitation of any photo, video, voice message, letter, e-mail, medical, social, educational or other related information for any personal, commercial and/or illicit purposes.  

Moreover, You shall not download, save, print-screen or otherwise store on any shared device or drive, and shall not anyhow disseminate or make available to any third party any photographs, videos (including the “Thank you” video clip recorded by the child and/or his/her parents), letters,  other communications about the child. This includes the duty to abstain from giving any third person access to such photographs, videos, letters and communications.

Similarly, You shall not download, save, print-screen or otherwise  store on any shared device or drive, and shall not anyhow disseminate or make available to any third party  any information about the child, such as the name, age, area of residence, and specific information about the child (information about education, health, general or special needs, information on hobbies and activities of the child, family status, number and details of members in the household, profession and/or professional capabilities of parents/guardians of the child, general information on health condition of family members of the child and respective impact on their workability and capability, general description of social-financial conditions, standard of living, sanitary-hygienic conditions of the child etc.). This includes the duty to abstain from giving any third person access to such information.

As a Sponsor You are prohibited from engaging and/or contracting any third party, including private individuals, for contacting, monitoring, surveilling or otherwise impeding the privacy of Your sponsored child. You shall not undertake any action that is directed at identifying Your sponsored child, its residence address, school or constitute a violation of private and family life of a child. 

You undertake to familiarize Yourself with the Child protection policies and guidelines of WV and act in full compliance with them.

 

“Give a Gift” campaign

You may also opt for participating in a “Give a Gift” campaign available on Donate.am platform, whereby You may donate funds for acquiring specific gift packages for children. We periodically update our Gift Catalog available on the Website ([insert the hyperlink]) from which You may choose a Gift. Main categories of Gift packages include clothing, food, hygiene kits, school supplies, farm animals and other related packages that aim to make a positive change in the lives of children. 

You may purchase a Gift in the name of a third person who will receive a handmade “Thank you” card from the beneficiaries. We may additionally normally send reports via email  with the photos acknowledging the gifts received.

In order to purchase a Gift on Website You may need to provide Us or else have an option to provide Us Your full name, e-mail address, as well as submit comments/remarks and choose the number of gifts and/or their components. Same payment options and conditions apply as for the General donations made through the Website. 

 

Personal information submitted on the Website

In order to create a Sponsor account, make General donations on the Website or participate in the “Give a Gift” campaign, You may need to provide Us or else have an option to provide Us with certain personal information, as described above. Any personal information submitted to Us through use of Website or the Donate.am platform will be collected and processed in accordance with these Terms & Conditions and pursuant to our Privacy Policy. The whole responsibility to ensure that your personal information is true, accurate, current and complete, lies with You.  

Please consult our Privacy Policy to learn how and to what extent We use and process Your personal information, including when and to whom We may transfer such personal information. 

 

Limited License to use

Subject to Your acceptance of these Terms & Conditions, You are granted a non-exclusive, revocable, limited, non-transferable and non-sub-licensable right to access and use the Website and the underlying donate.am platform solely for the purposes described herein (“License”). You undertake not to use the Website and the underlying donate.am platform for any other purpose.

You acknowledge and agree that Your License does not include: (a) alteration, modification, revision, other transformation, creation of derivative works from or otherwise making any derivative uses of the Website and the underlying donate.am platform or any information or Content therein; (b) decompilation, reverse engineering or otherwise attempting to derive the source code for the Website and the underlying donate.am platform (except to the extent applicable laws specifically prohibit restriction of such activities); or (c) any use of the Website and the underlying donate.am platform other than for its intended purpose as expressly stated in these Terms & Conditions.

Unless explicitly stated herein, nothing in these Terms & Conditions shall be construed as conferring any license to intellectual property, proprietary or other rights, whether by estoppel, implication or otherwise.

Any use of the Website other than as specifically authorized herein, without Our prior written permission, is strictly prohibited and will terminate the License granted herein, and may subject You to liability for violations of law.

For the purposes of determining Your compliance with the License and enforcing these Terms & Conditions, We may: (a) monitor all communications and contact You have with the sponsored children and/or their families, as well as other beneficiaries of WV; (b) monitor Your use of any Content or information,  and ensure Your compliance with conditions and requirements of use of such information as specified under these Terms & Conditions; (c) suspend and/or delete Your Sponsor account for any violation of these Terms & Conditions and/or Privacy Policy and/or in case of any illicit or illegal act committed by You against the interests, rights of the child, including, without limitations, breach of privacy of a child or unauthorized contact with the child and/or his/her family; (d) request access to any correspondence and/or e-mail communication with the child and/or his/her family. 

 

Suspension and Termination of Access to and Use of the Website

You have the right to suspend or terminate Your access to or Your use of the Website and the underlying donate.am platform or any part thereof at any time. If You do not agree to these Terms & Conditions, Your sole and exclusive remedy is not to use the Website. You understand and agree that stopping your use of the Website is Your sole and exclusive remedy with respect to any dispute with Us.

We reserve the right to stop offering and/or supporting the Website and the underlying donate.am platform or any part thereof at any time either permanently or temporarily. In such event Your License to use the Website or a part thereof will be automatically terminated or suspended.

We may also terminate Your access to the Website and the underlying donate.am platform with or without notice to You, if We (in our sole discretion) deem that You have violated these Terms & Conditions or have otherwise caused or may cause damage to Us or any third party or the beneficiaries of WV.

 

Conduct Requirements and Restrictions of Access

Your use of and access to the Website is subject to all applicable national and international laws and regulations, and You agree not to violate such laws and regulations in Your use of and access to the Website and the underlying donate.am platform. In addition, You agree that: (a) You will not interfere with another user’s use and enjoyment of the Website; (b) You will not interfere with or disrupt WV’s or the Website security measures; (c) You will not interfere with or disrupt networks connected to the Website and will comply with all regulations, policies and procedures of such networks; (d) You will comply with applicable laws regarding the transmission of technical data exported and imported to and from different jurisdictions in accordance with these Terms & Conditions with respect to or relating to any of Your dealings with the Website; (e) You will not use the Website to engage in any illegal conduct; (f) When accessing to or using the Website You shall at all times comply with these Terms & Conditions. 

As a condition of use of the Website and the underlying donate.am platform, You promise that: (a) You will not use the Platform in the event You have not reached the age permissible for use of the Website or its services in Your jurisdiction; (b) You will not use the Website for any purpose that is in violation with public or moral rights, including, without limitation, (i) deceiving, misleading, abusing, harassing, intimidating WV, its beneficiaries, including Your sponsored child and/or his/her family; (ii) transmitting or causing to be transmitted any Content that is deceitful, misleading, defamatory, libelous, hateful, profane; (iii) downloading or using children photos, videos or other Content available on the Website for any illegal, illicit, immoral or other non-authorized purposes. 

You also agree to defend, indemnify and hold harmless WV, as well as their founders, subsidiaries, affiliates, officers, employees and independent contractors from any loss, liability, damages and expenses (including, without limitation, legal fees) resulting from any claim or demand made by any third party arising out of or in connection with Your use of the Website, Your violation of these Terms & Conditions, or Your violation of the rights of any third party, including any violations of children’s rights and interests, including, without limitations, right to privacy.

 

Technical problems

There may be occasions where the Website may be interrupted, or any other technical difficulties may occur in connection with Your access to and use of the Website. You acknowledge that in such cases We shall bear no liability for any suspension, discontinuation or interruption of the Website.

IN NO EVENT WILL THE TOTAL LIABILITY OF WV OR ANY OF THE ABOVE-REFERENCED PERSONS OR ENTITIES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR RELATING TO THE SERVICES AND USE OF WEBSITE EXCEED THE AMOUNT YOU HAVE PAID OR ELSEWHERE HAS TO PAY TO WV IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH YOU FIRST ASSERTED ANY SUCH CLAIM.

SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, THE LIABILITY OF WV SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

 

Miscellaneous

The formation, construction and interpretation of these Terms & Conditions, and Your use of the Website, shall be governed by the law of the Republic of Armenia, giving no effect to choice of law provisions.

Any dispute relating to these Terms & Conditions shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Armenia. You hereby irrevocably and unconditionally submit to the personal jurisdiction and exclusive venue of these courts. To the extent possible, all disputes between You and WV will be primarily resolved through negotiations. Hereby You additionally agree, that given the interests of children involved and for the purposes of respecting their private and family life, all court proceedings shall be carried out through closed hearings. 

If You violate these Terms & Conditions or if You engage in any conduct that We, in Our sole discretion, believe is in violation of any applicable law or is otherwise harmful to the interests of WV, its beneficiaries, any Sponsored child and/or his/her family or any third party, We may issue You a warning about the violation, or We may choose to immediately suspend or terminate Your access to or Your use of the Website or any part thereof, or We may choose to immediately delete Your Sponsor account and move You to the black list of Investors. You acknowledge that WV is not required to provide You notice before terminating or suspending Your access to or use of the Website or any portion thereof, but it may choose to do so. Depending on the severity and type of Your violation, WV may be required to submit a claim to the respective law enforcement bodies and report any illegal, illicit or criminal offense committed by You. 

If any provision of these Terms & Conditions is held to be unlawful, void or for any reason unenforceable, that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of the remaining provisions. These Terms & Conditions constitute Your entire agreement with WV with respect to their subject matter and supersede any other previous written terms and any oral or promotional statements regarding such subject matter. Any waiver of enforcement of any provision of these Terms & Conditions or any breach thereof, in any one instance, shall not constitute a waiver of such term or condition or any subsequent breach thereof. If any dispute arises under these Terms & Conditions, the prevailing party shall be reimbursed by the other party for any and all legal fees and costs associated therewith.
